Terms of Service – Refix LLC (English)

1. Scope and Parties
These Terms of Service ("Terms") govern the use of the refix.cloud software‑as‑a‑service platform (the "Service") provided by Refix Reputation Solutions LLC, 5 Judith Drive, Englewood Cliffs, NJ 07632, USA ("Refix", "we", "us"). The Service is offered solely to businesses; it is not intended for consumers or personal, family or household use.By registering an account and clicking the acceptance checkbox, the entity you represent ("Customer") enters into a binding contract with Refix and agrees to these Terms.
2. Services
2.1 Refix provides an online platform that (i) monitors product reviews, (ii) identifies potentially illegitimate reviews, and (iii) submits removal requests. Refix provides the Service on a best‑efforts basis and does not guarantee removal of any specific review.
2.2 Refix is not a law firm and does not render legal advice. Where legal action is required (e.g., under German law), it is carried out by our partner law firm Huth Dietrich Hahn, under a separate engagement letter and power of attorney (PoA) signed by Customer. Providing a PoA is optional; without it, Refix limits its assistance to technical identification and self‑service reporting.
3. Fees and Billing
3.1 Fees are success‑based according to the current pricing table published at https://refix.cloud/pricing. Charges apply to each review that is successfully removed.
3.2 If Customer deactivates a product from monitoring, removals achieved up to 30 days after deactivation (or during the following calendar month) will still be billed.
3.3 All payments are processed via Stripe. The registered credit card is charged twice per month, on or about the 1st and 15th. Fees are exclusive of taxes. Currency defaults to Customer’s country; alternative currencies are available on request.
3.4 If two consecutive Stripe charges fail, Refix may suspend the account after 7 days. Late payments accrue interest at 9 % p.a. above the U.S. Prime Rate.
4. Customer Obligations
Customer shall (i) provide accurate business information, (ii) keep login credentials secure, (iii) grant Refix the necessary API or platform access tokens, and (iv) use the Service only to target reviews Customer reasonably believes to be illegitimate.
5. Availability and Support
The Service is provided on a best‑effort basis. Scheduled maintenance will be announced in advance. Refix makes no specific uptime promises.
6. Warranties and Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” REFIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. REFIX DOES NOT WARRANT THAT ANY REVIEW WILL BE REMOVED OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFIX’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO REFIX IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL REFIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR DATA.Refix is not liable for the acts or omissions of the partner law firm. Any claims relating to legal representation must be directed to that firm.
8. Term and Termination
Either party may terminate these Terms at any time for convenience by giving 14 days’ written notice effective at the end of the current billing cycle. Outstanding fees remain payable.
9. Indemnification
Customer agrees to indemnify, defend and hold harmless Refix, its officers and employees from any claims or damages arising out of Customer’s misuse of the Service or violation of these Terms.
10. Governing Law and Venue
These Terms shall be governed by the laws of the State of Wyoming, USA, excluding its conflict‑of‑law rules. The state and federal courts located in Wyoming shall have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
11. Modifications to the Terms
Refix may modify these Terms with future effect. Significant changes will be notified at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
12. Miscellaneous
If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect. Neither party’s failure to enforce any right shall be deemed a waiver.
These Terms are provided in German and English. In case of conflict, the German version applies to contracts with Customers located in the European Economic Area, and the English version applies otherwise.
